"CinematicRelaxation" or "we," "us," "our" refers to CinematicRelaxation, a FolioViz LLC brand, operating the website cinematicrelaxation.com.

"Content" means all video footage, images, audio, and other media available for licensing through our platform.

"User," "you," "your" refers to any individual or entity that accesses or uses the CinematicRelaxation platform.

"License" means the rights granted to you upon purchase of Content, as defined in these Terms and any applicable license agreement.

"Standard License" means the default license granted for HD content purchases at $79 per clip.

"Extended License" means the enhanced license granted for 4K content purchases at $149 per clip.

"Platform" means the CinematicRelaxation.com website, APIs, and all related services.

By creating an account, making a purchase, or otherwise using CinematicRelaxation, a FolioViz LLC brand, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

If you do not agree to these Terms, you must immediately cease using the Platform. Your continued use of the Platform constitutes your ongoing acceptance of these Terms.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Material changes will be communicated via email to registered users. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

Upon purchase of Content from CinematicRelaxation, a FolioViz LLC brand, you are granted a non-exclusive, non-transferable, worldwide license to use the Content subject to the terms of the applicable license type.

Standard License (HD): Grants the right to use Content in personal and commercial projects, including websites, social media, presentations, and video productions, for up to 500,000 total views or impressions.

Extended License (4K): Grants all rights included in the Standard License, plus the right to use Content in broadcast, theatrical, and unlimited-distribution productions without view limitations.

All licenses are perpetual once granted, meaning they do not expire after purchase. However, they may be terminated if you violate these Terms.

You may NOT:

• Resell, redistribute, sublicense, or make Content available for download by third parties.
• Use Content in a way that competes with CinematicRelaxation, including selling Content as stock footage.
• Use Content in defamatory, pornographic, or unlawful materials.
• Remove, alter, or obscure any copyright notices or metadata embedded in the Content.
• Claim ownership or authorship of the Content itself.
• Use Content to train machine learning or artificial intelligence models without explicit written permission.
• Transfer or assign your license to another party without our prior written consent.

All Content available on CinematicRelaxation, a FolioViz LLC brand, is protected by copyright and other intellectual property laws. The purchase of a license does not transfer ownership of the Content. FolioViz LLC and/or its content contributors retain all rights, title, and interest in the Content.

The CinematicRelaxation name, logo, and all related trademarks are the property of FolioViz LLC. You may not use our trademarks without prior written consent.

The Platform itself, including its design, code, and functionality, is the proprietary property of FolioViz LLC and is protected by intellectual property laws.

To purchase Content, you must create an account on CinematicRelaxation, a FolioViz LLC brand. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate and complete information when creating your account and to update your information as needed. You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Content is priced as listed on the Platform. Current pricing is $79 for HD footage (Standard License) and $149 for 4K footage (Extended License). Prices are in US Dollars and do not include applicable taxes.

All sales are final. Due to the digital nature of our Content, refunds are generally not provided once Content has been downloaded. We may, at our sole discretion, issue refunds for technical issues that prevent Content use.

We reserve the right to change pricing at any time. Price changes will not affect previously completed purchases.

CinematicRelaxation, a FolioViz LLC brand, represents and warrants that:

• We have the right to license the Content made available on the Platform.
• Content provided through our Platform does not, to the best of our knowledge, infringe upon the intellectual property rights of any third party.

THE PLATFORM AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You agree to indemnify, defend, and hold harmless FolioViz LLC, CinematicRelaxation, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Content in violation of these Terms.
• Your violation of any applicable law or regulation.
• Your breach of any representation or warranty made in these Terms.
• Any claim by a third party related to your use of the Content.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOLIOVIZ LLC AND CINEMATICRELAXATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

CinematicRelaxation, a FolioViz LLC brand, may terminate or suspend your account and access to the Platform at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Platform ceases immediately. Licenses for Content that were validly purchased and fully paid for prior to termination shall survive, provided you remain in compliance with the license terms.

You may terminate your account at any time by contacting us. Termination of your account does not entitle you to a refund of any fees paid.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.

Dispute Resolution: Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any applicable license agreement, constitute the entire agreement between you and FolioViz LLC regarding the use of the Platform.

Waiver: The failure of FolioViz LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Your use of CinematicRelaxation, a FolioViz LLC brand, is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

By using the Platform, you consent to the collection and use of your data as described in our Privacy Policy. We are committed to protecting your privacy and handling your data in compliance with applicable data protection laws.

CinematicRelaxation, a FolioViz LLC brand, respects the intellectual property rights of others. If you believe that Content on our Platform infringes your copyright, please submit a DMCA takedown notice to our designated agent with the following information:

• A description of the copyrighted work you claim has been infringed.
• A description of the allegedly infringing material and its location on the Platform.
• Your contact information (name, address, phone number, email).
• A statement that you have a good faith belief that the use is not authorized by the copyright owner.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
• Your physical or electronic signature.
